Legacy Token Bridge Program Terms & Conditions

1. Purpose of the Program

These terms (the “Terms”) govern the voluntary Token Swap and Legacy Token Bridge Program (the “Program”) offered by ORION Architect LLC (“ORION,” “we,” “us,” or “our”), pursuant to which eligible holders of CSOV and/or WCSOV tokens (the “Legacy Tokens”) may exchange such tokens for ORION Architect tokens issued on the Solana blockchain (the ORION Architect Tokens”).

The Program is intended solely to facilitate a technical transition of the ORION ecosystem and does not constitute an offer, solicitation, or recommendation to purchase, sell, or hold any security or investment product.

2. Eligibility and User Responsibility

You may participate in the Program only if:

  • You are the lawful owner of the Legacy Tokens submitted for participation;

  • You have full authority and legal capacity to participate;

  • You possess the technical knowledge necessary to interact with blockchain technology and compatible wallets; and

  • Your participation is permitted under all applicable laws and regulations.

ORION reserves the right to restrict or deny participation by any individual, entity, or jurisdiction at its sole discretion.

3. Voluntary Participation; No Obligation

Participation in the Program is entirely voluntary.

You acknowledge and agree that:

  • You are under no obligation to participate in the Program;

  • Legacy Tokens will lose functionality, support, and utility as of February 26, 2026;

  • ORION is under no obligation to continue supporting Legacy Tokens indefinitely.

ORION makes no guarantees regarding future functionality, liquidity, or value of any token involved in the Program.

Failure to participate in the Program on or before the Deadline may result in the permanent inability to bridge Legacy Tokens, and ORION shall bear no responsibility or liability for such outcome.

4. Program Mechanics

Participation in the Program requires submitting Legacy Tokens through a designated bridging mechanism as specified by ORION.

You acknowledge and agree that:

  • Blockchain transactions are final, irreversible, and non-recoverable;

  • You are solely responsible for ensuring the accuracy of wallet addresses, transaction data, and instructions;

  • ORION has no ability or obligation to reverse, correct, or remediate completed transactions.

5. Exchange Rate and Token Issuance

The exchange rate between Legacy Tokens and ORION Architect Tokens, including any applicable limits or rounding conventions, will be disclosed in connection with the Program.

Once executed, all swap transactions and exchange determinations are final.

ORION reserves the right to modify, suspend, or terminate the Program at any time, subject to applicable law.

5A. Swap Window and Deadline

The Program will be available only during the swap window announced by ORION (the “Swap Window”), which shall close at 11:59 PM Pacific Time (PT) on February 26, 2026 (the “Deadline”).

You acknowledge and agree that:

  • The Swap Window is time-limited and may be modified or terminated by ORION at its discretion prior to the Deadline, subject to applicable law;

  • Legacy Tokens submitted after the Deadline will not be eligible for participation in the Program;

  • Any requests, submissions, communications, or inquiries submitted after the Deadline shall be deemed void and disregarded, without exception.

  • ORION has no obligation to reopen, extend, re-enable, or otherwise provide access to the Program for any reason, including user error, technical issues, or missed deadlines.

Failure to participate in the Program on or before the Deadline may result in the permanent inability to bridge Legacy Tokens, and ORION shall bear no responsibility or liability for such outcome.

6. Representations and Acknowledgements

By participating in the Program, you represent, warrant, and acknowledge that:

  • You are the lawful owner of the Legacy Tokens submitted;

  • The Legacy Tokens were not acquired through unlawful or prohibited activity;

  • You understand the technical, financial, and legal risks associated with blockchain transactions;

  • You accept full responsibility for the outcome of your participation.

7. Smart Contracts and Technical Risk

The Program relies on blockchain infrastructure and smart contracts that may be subject to risks, including but not limited to:

  • Network congestion or outages;

  • Software bugs, vulnerabilities, or exploits;

  • Delays or failures outside ORION’s control.

Participation in the Program is undertaken entirely at your own risk.

8. No Investment or Professional Advice

Nothing in these Terms constitutes investment, financial, legal, or tax advice.

You are solely responsible for evaluating the suitability of participation in the Program and for consulting independent advisors as appropriate.

9. No Guarantee of Value or Utility

ORION Architect Tokens:

  • May fluctuate in value;

  • May have no present or future market value;

  • May not be listed or supported on any exchange or platform.

ORION makes no representations or warranties, express or implied, regarding future value, liquidity, or functionality.

10. Taxes

You are solely responsible for determining and complying with any tax obligations arising from participation in the Program.

ORION does not provide tax advice or reporting services in connection with the Program.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ORION shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to participation in the Program, including without limitation loss of digital assets, loss of access, or loss of anticipated value.

12. Release and Waiver

To the fullest extent permitted by law, you hereby release and waive any and all claims against ORION and its affiliates arising out of or relating to your participation in the Program, including claims related to technical failures, user error, or loss of digital assets.

13. Indemnification

You agree to indemnify, defend, and hold harmless ORION and its affiliates, officers, directors, employees, and agents from any claims, liabilities, losses, damages, or expenses arising out of or relating to your participation in the Program or violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Program shall be resolved exclusively by binding arbitration, conducted on an individual basis and not as a class action, in accordance with the rules of the American Arbitration Association (AAA).

The arbitration shall be conducted in English, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

Nothing in this Section shall prevent ORION from seeking injunctive or equitable relief where appropriate.

15. Amendments and Termination

ORION reserves the right to amend or terminate these Terms or the Program at any time. Continued participation in the Program following any amendment constitutes acceptance of the revised Terms.

16. Acceptance of Terms

By participating in the Program, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

Certain smart contracts or components used in connection with the Program may have been subject to internal review, third-party assessment, or independent audit processes. Any such reviews or audits, where applicable, are intended to identify potential issues at the time conducted and do not guarantee the absence of vulnerabilities, defects, or exploits.

Participation in the Program remains subject to the inherent risks of blockchain technology, and ORION makes no representations or warranties regarding the absolute security, functionality, or performance of any smart contract or underlying network.
